Agreement to these terms

These terms are an agreement between [TO CONFIRM: legal entity name, registered address and company registration number], the company that runs Clocknet, and the organisation that creates a Clocknet workspace (the customer). They cover the Clocknet website, the web app and the mobile app.

If you create a workspace or accept these terms for an organisation, you confirm that you are allowed to bind that organisation to them.

If your employer invited you to its workspace, you use Clocknet under your employer's account. By signing in, you agree to follow these terms when you use Clocknet. Our Privacy Notice explains how your personal data is handled.

Definitions

  • Workspace: the customer's own space in Clocknet, holding its members, sites, schedules and records.
  • Owner and administrator: people the customer gives the right to manage the workspace, its members and its billing.
  • Member: a person the customer invites to use the workspace, usually an employee.
  • Customer data: everything the customer and its members put into Clocknet or that Clocknet records for them, such as time entries, timesheets, locations, face checks, time off and pay data.
  • Plan: the set of features and the price that apply to a workspace, as shown on our pricing page.
  • Subscription: a paid plan the customer has chosen, billed monthly, yearly, or under a contract.

Accounts and workspaces

  • Give accurate information when you sign up, and keep it up to date.
  • Keep your password and devices safe. Clocknet offers two-factor authentication and passkeys, and Enterprise workspaces can use single sign-on. Tell us straight away if you think someone else is using your account.
  • The customer decides who it invites and which role each person gets. It is responsible for what people do in its workspace with the access it gave them.
  • You must be at least [TO CONFIRM: the minimum age, for example 16] to use Clocknet.

Acceptable use

Clocknet can record where people are and check their face when they clock in. The customer must use these features lawfully:

  • Before turning on location or face verification, the customer must have a legal basis for it, tell its members what is collected and why, and get their consent where the law requires it. In the app, face verification always asks for the member's consent first, and location sharing during a shift stays off until the member turns it on.
  • The customer must not use Clocknet to monitor people secretly, outside working time, or in a way the law does not allow.

Nobody may:

  • break the law, or use Clocknet to harm or harass anyone
  • try to get into accounts, workspaces or systems they are not allowed to use
  • get around security, rate limits or plan limits
  • fake a location, a face check or a time record, for example with a GPS spoofing app or a photo of someone else
  • upload malware, or overload or disrupt the service
  • copy, decompile or reverse engineer Clocknet, except where the law allows it
  • collect data from Clocknet with bots or scrapers, other than through the API access we provide
  • resell Clocknet, or use it to build a competing product

Plans, billing and cancellation

Plans and prices are listed on our pricing page. Prices are in US dollars. Stripe calculates and adds any applicable tax at checkout.

  • Basic is free for up to 5 active members.
  • Pro is billed per active member, monthly or yearly. When you add or remove members, or switch between monthly and yearly, the price is adjusted for the rest of the period.
  • Enterprise is a custom contract with an agreed price and member limit. We invoice it, and each invoice is due within 30 days.

Every new workspace gets all features free for 30 days, without a card. After 30 days, the workspace moves to the free Basic plan unless an owner upgrades it to a paid plan from the Billing page. If it has more than 5 active members at that point, everyone keeps access, but no more members can be invited or activated until it is within the Basic limit.

Stripe handles payments. We do not store card numbers.

If a payment fails, Stripe tries again and we tell the owners. The workspace keeps Pro for 14 days. If the payment is still not made after that, the workspace moves to Basic.

When a workspace moves to a plan without a feature, the data for that feature is kept read-only, not deleted, and comes back if you upgrade again. You cannot move to a plan whose member limit is lower than your number of active members until you are within that limit.

You can cancel a paid plan from the Billing page, straight away or at the end of the billing period. If you cancel at the end of the period, you keep the paid plan until then. Either way, the workspace then moves to Basic.

The Refunds section below explains when we refund a payment.

Refunds

Payments are not refunded, except in the cases below.

  • Monthly plans: we do not refund the current month. If you cancel at the end of the period, the plan stays active until then. If you cancel straight away or close the workspace, the plan ends at once and the rest of the month is not refunded.
  • Yearly plans: if you cancel within 14 days of the first yearly payment or of a renewal, we refund the unused part of the year, counted in days. After those 14 days, we do not refund the rest of the year. This also applies when you close the workspace.
  • Fewer members, or switching from yearly to monthly: Stripe turns the unused amount into a credit on your next invoices. It is not paid back to your card.
  • Billing mistakes: if we charge you twice, charge the wrong amount, or charge you after the plan ended, we refund the amount charged in error in full.
  • Trials and failed payments: a trial is free, so there is nothing to refund. If a payment fails and the workspace moves to Basic, [TO CONFIRM: whether the unpaid invoice is cancelled or still owed].
  • Enterprise: refunds follow the customer's contract.

If we suspend or close a workspace because it broke these terms, we do not refund payments already made. If we stop providing Clocknet for any other reason, we refund the unused part of any period you paid for in advance.

Refunds go back to the card or account you paid with, through Stripe, and include the tax charged on the refunded amount. Your bank may take 5 to 10 business days to show it. To ask for a refund, the workspace owner writes to [TO CONFIRM: billing contact email] with the workspace name and the invoice number.

Clocknet is sold to organisations for use in their business. The 14-day right of withdrawal that EU law gives consumers who buy online does not apply to business customers. Nothing in this section takes away rights the law gives you that a contract cannot remove. Customer data

The customer owns its customer data. We process it only to provide Clocknet and on the customer's instructions, as its processor. The data processing agreement will be published on our GDPR page.

The customer is responsible for collecting its members' data lawfully, including location and face data, and for the accuracy of the records it keeps.

Administrators can export reports and timesheets as CSV, Excel or PDF files, and each member can download a copy of their own data.

We do not sell customer data and do not use it for advertising.

Third-party services

Clocknet works with services run by other companies. Their own terms apply when you use them:

  • Stripe, for payments and invoices
  • the identity provider a workspace connects for single sign-on
  • the Apple App Store and Google Play, for the mobile app
  • map providers, for maps and addresses

We are not responsible for those services. Our Privacy Notice lists the service providers that process personal data for us.

Intellectual property and feedback

We own Clocknet, including its software, design and brand. While the customer's subscription is active, we give the customer and its members the right to use Clocknet under these terms. We keep all other rights.

If you send us suggestions or feedback, we may use them freely, without paying you or giving you credit.

Availability and support

We work to keep Clocknet running and secure, but we cannot promise it will never be interrupted. We may take it down for maintenance. [TO CONFIRM: whether maintenance is announced in advance, and how.]

[TO CONFIRM: we do not commit to an uptime level in these terms, unless an Enterprise contract sets one.] The level of support depends on the plan: email on Basic, email and chat on Pro, priority support on Enterprise. [TO CONFIRM: support channels and hours.]

The mobile app lets members clock in and out without a connection and sends the records when the phone is back online. Until then they are stored only on the phone, so they can be lost if the app is deleted, the phone is wiped or the member signs out first.

We may change or remove features over time. [TO CONFIRM: whether, and how far in advance, we tell customers before removing a paid feature.]

Warranties and liability

Clocknet is provided as it is and as available. As far as the law allows, we give no other promises, for example that it will suit a particular purpose or never contain errors.

Clocknet calculates hours, overtime and pay from the records and rules the customer enters. It does not give payroll, tax or legal advice. The customer must check the results before paying anyone or making a decision about a person.

As far as the law allows, we are not liable for indirect or consequential losses, such as lost profits, revenue or data.

Our total liability to a customer: [TO CONFIRM: the cap, for example the fees the customer paid in the 12 months before the claim, with a fixed amount for free plans].

Nothing in these terms limits liability that the law does not allow to be limited, such as for fraud or for death or injury caused by negligence.

Indemnity

The customer will protect us against claims, and pay the resulting costs, when they come from the customer's unlawful use of Clocknet, including monitoring its members without a legal basis or the notices and consent the law requires, or from data the customer uploads without the right to do so. Suspension and termination

The customer can stop using Clocknet at any time by cancelling its paid plan. It can also close its workspace for good: a workspace owner does this from the workspace settings by typing the workspace name and their password. Closing cancels any paid plan straight away. A member can delete their own account from the app, as the Privacy Notice explains.

We may suspend a workspace if payment is not made, if it breaks these terms, or if it puts the service or other customers at risk. A suspended workspace is read-only: its data is kept but cannot be changed. Where we can, we tell the owners first and give them time to fix the problem.

We may end the agreement if the customer seriously or repeatedly breaks these terms.

Once an owner closes a workspace, it stays read-only for 30 days. Members can no longer sign in or clock in. Owners can sign in only to export reports and their own data, and they can cancel the closure during those 30 days, though cancelling does not bring back a paid plan. After 30 days we delete the workspace data and email the owners to confirm it. Copies in backups are deleted when those backups expire.

Governing law

If you are a consumer or a business in a country whose laws give you rights that a contract cannot remove, these terms do not take those rights away.

Changes to these terms

We may update these terms when Clocknet or the law changes. The date at the top shows when they last changed.

For important changes, we will tell workspace owners before the change applies. [TO CONFIRM: how much notice, and how, for example by email and in the app.] If you keep using Clocknet after the change applies, the new terms apply to you.
